Julian joined Freshfields Bruckhaus Deringer’s London office in 1992 as a trainee. He qualified into the finance department in 1994 and moved to the corporate department in 1998. His practice focuses on equity and debt capital markets. Significant transactions on which he has worked include advising:
- on the international offerings of shares in Aer Lingus, Dunelm Mill, Gondola Holdings (the owner of the PizzaExpress, ASK and Zizzi brands), Mapeley, moneysupermarket.com, Nikanor (the largest-ever AIM listing), Premier Foods, Yell, The Future Network, Marlborough Stirling and Wolfson Microelectronics;
- the underwriters on the dual listing of lastminute.com;
- the underwriters on the proposed, but subsequently aborted, IPO of Gala;
- Xstrata on the international offering of shares in Xstrata plc involving the merger of Xstrata plc with Xstrata AG (a Swiss listed company) and the acquisition of Glencore International’s Australian and South African coal assets;
- Xstrata on its US$600m and US$375m convertible bond issues;
- Xstrata on its US$1.7bn acquisition of a 19.9 per cent stake in Falconbridge and its successful hostile bid for the remainder of Falconbridge and its subsequent US$5.6bn rights issue and US$2.25bn private placement of various tranches of bonds to refinance the acquisition;
- Xstrata on its US$1.7bn acquisition of a one-third stake in the Cerrejón coal mine in Colombia;
- O2 on its demerger from British Telecommunications and its listings on the London and New York Stock Exchanges;
- Invensys on its refinancing;
- Rank on its £170m convertible bond issue;
- the underwriters on Prudential’s £1bn rights issue; and
- Aveng on its ZAR 1bn convertible bond issue.
