Jon Rees is a partner based in our London office and the head of our energy group. He specialises in international energy and natural resource related ventures providing M&A, commercial and regulatory advice to clients in the energy sector.
He helped Amoco on its merger with BP and has advised Gazprom
on its strategic alliances with Shell and ENI, Chevron on
its gas to liquids ventures, Shell on the TransCaspian gas
pipeline project and Petronas on several of its international
transactions. He represented Gulf Canada on its bid for Clyde
Petroleum, Hardy on its merger with British Borneo and Monument
on its merger with Lasmo. His coal experience includes advising
RJB on its acquisition of the bulk of British Coal and Enron
upon the establishment of its European coal trading operations.
He is a member of the Institute of Petroleum and Vice Chair
of the American Bar Association's Section on International
Energy and Resources.
Other relevant projects on which he has worked include:
- advising Shell and PSG International on the Transcaspian Pipeline Project, with particular responsibility for the transportation agreement and gas sales arrangements;
- advising Petronas on the Yetagun gas pipeline system from Myanmar to Thailand and the purchase arrangements for gas from the Malay/Thai JDA; advising Belgian gas pipeline operator Distrigas on the transit and third party access arrangements for its transmission system;
- advising Snam on the potential purchase of a European gas marketing company;
- advising PowerGen Gas (formerly Kinetica) on the transportation arrangements relating to its KiPs onshore pipeline system;
- advising Wingas on the purchase of 2bcm of gas a year from BG plc through the UK Belgium Interconnector.
Mandates involving the drafting and/or negotiating of oil and gas documents on which he has worked include:
- advising Gazprom/Wintershall/Rosshelf on the production sharing agreement relating to the Prirazlomnoye oil development, offshore northern Russia;
- advising Xstrata in the drafting of the agreement for the sale of its interests in the oil and gas producing Santa Cruz 1 concession, Argentina;
- as lawyer to the TransCaspian pipeline project developers, advising the Government of Turkmenistan on the drafting and negotiation of its agreement for the sale of 16bcm/y of gas to Botas, the Turkish offtaker;
- advising Paladin Resources on aspects of the drafting and negotiation of a contract to purchase certain North Sea assets currently under auction;
- advising Wintershall on the drafting and negotiation of an agreement to sell its interests in a number of English and Dutch exploration areas and producing fields;
- advising the Government of Bahrain on the drafting of that country's model Production Sharing Agreement;
- advising Consolidated Contractors in their negotiation of concession agreements with BG plc for the exploration and exploitation of hydrocarbons offshore territories controlled by the Palestinian National Authority.
